Summary, etc.	حاز تنظيم عمليات الاستحواذ على اهتمام الشركات وعلى التركز الاقتصادي لعدد كبير من دول العالم، ويعتبر أحد استراتيجيات الشركات برغبتها في إبرام عقد الاستحواذ على الشركات المستهدفة والذي يجيز السيطرة المالية والإدارية لإحدى الشركات على النشاط التجاري الشركة أخرى بشراء الأسهم كاملة أو جزء كبير منها ويتيح لها أن تصبح مخولة قانونياً بتعيين مجلس إدارة الشركة المستحوذ عليها مما يعني السيطرة الفعلية عليها والاستحواذ له عدة طرق ومنها الاستحواذ عن طريق مبادلة الأسهم .<br/>والاستحواذ قد يساعد أي شركة لتنمو بسرعة والاستمرار بالمنافسة دون خلق كيانات وفروع جديدة أو استخدام مشروع مشترك خصوصاً ذات الإمكانيات البسيطة ورؤوس الأموال الصغيرة ولابد ان نميز بين الاستحواذ والاندماج حيث يستخدما لمفهوم واحد لوجود تشابه بينهما ويحققان نفس المزايا لتكوين مجموعات اقتصادية لكن يوجد اختلاف في الإجراءات المتبعة لتطبيقهم ..لذلك جاءت هذه الدراسة موقوفة على موضوع ( الاستحواذ عن طريق مبادلة الأسهم : دراسة مقارنة). وتناول الباحث في البداية فصل تمهيدي: خصص لبيان ماهية الاستحواذ على الشركات، ومقسم إلى مبحثين المبحث الأول : فكان لبيان الإطار القانوني للاستحواذ والمبحث الثاني : خصص للتمييز بين الاستحواذ وما يشابهه وإجراءاته. وقسم أيضاً البحث إلى بابين وتناول الباحث في الباب الأول عن كيفية آلية الاستحواذ لغرض عرض الشراء والتشريع المنظم له، وقسم هذا الباب إلى فصلين الأول المسئولية المترتبة على الاستحواذ لغرض عرض الشراء والتشريع المنظم له، وأما الثاني: دور القوانين في التنظيم التشريعي العروض الاستحواذ على الشركات. أما الباب الثاني من هذه الدراسة، فكان لبيان حالات وشروط عملية مبادلة الأسهم، وجاء في فصلين؛ الأول عن حالات الالتزام بتقديم عرض شراء إجباري والاستثناءات منها، والثاني: الشروط والقيود والإجراءات القانونية لمبادلة الأسهم عن طريق عروض الشراء الاجبار . والهدف من كل ما سلف هو الوقوف على التشريعات القانونية للاستحواذ وتوفير المعلومات بأيسر الطرق وبيان أهمية المتغيرات المعاصرة والتطورات المتلاحقة في الحياة الاقتصادية والمالية والتسويقية .

Acquisition has several methods, including:Acquisition by stock exchange . An acquisition may help any company to grow quickly and remain competitive without creating new entities and branches or using a joint venture, especially those with limited capabilities and capital Small .<br/>We must distinguish between acquisition and merger, as they are used for the same concept due to the similarity between them and achieve the same advantages to form economic groups, but there is a difference in the procedures used to implement them . Therefore, this study was based on the topic (acquisition through stock exchange: a comparative study ) . The researcher initially dealt with an introductory chapter devoted to explaining the nature of the acquisition of Companies, and is divided into two sections , the first section: was to explain the legal framework for takeovers, and the second section: was devoted to distinguishing between takeovers and similar ones and their procedures. The research was also divided into two sections In the first chapter , the researcher discussed how the takeover mechanism is for the purpose of the purchase offer and the legislation regulating it. He divided this chapter into two chapters: the first is the responsibility resulting from the takeover for the purpose of the purchase offer and the legislation regulating it, and the second is: the role of laws in legislatively regulating takeover offers for companies. The second section of this study was to explain practical cases and conditions Exchange of shares . The first is about cases of obligation to submit a compulsory purchase offer and exceptions to it, and the second : conditions, restrictions and legal procedures for exchanging shares through Compulsory purchase offers .<br/>The aim of all of the above is to understand the legal legislation for acquisitions, provide information in the easiest ways, and explain the importance of contemporary changes and successive developments in economic life Financial and marketing .
