| Summary, etc. | أن عقد (البناء والتشغيل وإعادة التملك -B.O.T) من مستجدات العصر الحديث، ويعتبر من إحدى صيغ التمويل والاستثمارات، وتبرز العملية التمويلية فيه عند رغبة الدولة أو المؤسسة بإقامة أصل إنتاجي جديد أن تحدد المواصفات الفنية لهذا الأصل، وشروط تمويله، وكيفية تشغيله من جانب المستثمرين، وتحديد مدة بنائه وتشغيله بمدة زمنية مناسبة، ثم إعادة ملكيته إلى الدولة أو المؤسسة المانحة. ونظرا لما لهذا العقد من أهمية متزايدة في جميع دول العالم، ونظرا لأنه لا يوجد حتى الآن معايير شرعية اقتصادية، فإنه يحتاج إلى مزيد من البحث العلمي حول جوانبه الاقتصادية والشرعية.<br/>ومن خلال دراستنا للأسس القانونية لعقود الـ " B.O.T في ظل كل من التشريعين المصري والكويتي تبين لنا ان مفهوم هذه العقود التي يقوم فيها المستثمر بإنشاء او تطوير مرفق عام من المرافق العامة او مشروع من مشاريع البنية الاساسية في الدولة علي نفقته الخاصة مقابل استغلاله للمشروع طوال مدة العقد ثم يقوم بتسليمه للدولة عند انتهاء مدة التعاقد بحالة جييدة تسمح باستمرار تشغيله , وقد رأينا ان هذه العقود تتمتع بطبيعة خاصة لاحتوائها علي مجموعة من التعاقدات والاتفاقيات المتشابكة ومنها عقد الاشغال العامة والقرض وخطابات الضمان وغيرها التي يلتزم المستثمر بابرامها بهدف تنفيذ التزاماته التعاقدية في عقد الـ " B.O.T , ولكن التشابك لم ينفي عن هذه العقود طبيعتها الادارية عندما اخضعهناها للتكييف القانوني بحيث توافرت فيها اركان العقد الاداري مما يلزم الجهة الادارية المتعاقدة بضرورة مراعاة الاجراءات المتبعة في ابرام العقود الادارية بوجه عام عندما ترغب في ابرام اي عقد من عقود الـ " B.O.T ومن اهم هذه الاجراءات وجوب صدور قانون خاص للمصادقة امتثالا للمادة (152) من الدستور الكويتي وهذه المادة تعد الاساس الدستوري لهذه العقود .<br/>وانتهينا الي ان ضرورة الاستعجال في سن التشريعات الكويتية الخاصة بتنظيم هذه العقود, واحترام رغبة المشرع الدستوري عند الرغبة في ابرام اي عقد من عقود الـ B.O.T , وذلك لللناي بها عن مظلة البطلان وتوفير الامان القانوني للمستثمر بما يحقق الاهداف المرجوة من هذه العقود لتفعيل دورها في التنمية الاقتصادية.<br/> |

| Summary, etc. | The (Build, Operate and Repossess - B.O.T) contract is one of the developments of the modern era, and is considered one of the forms of financing and investments, and the financing process in it emerges when the state or institution desires to establish a new productive asset by specifying the technical specifications for this asset, the conditions for its financing, and how to operate it by investors. Determine the duration of its construction and operation for an appropriate period of time, then return its ownership to the donor state or institution. Given the increasing importance of this contract in all countries of the world, and given that there are still no economic legitimacy standards, it requires more scientific research on its economic and legitimacy aspects.<br/>Through our study of the legal foundations of “B.O.T” contracts under both Egyptian and Kuwaiti legislation, it became clear to us that the concept of these contracts in which the investor establishes or develops a public facility or an infrastructure project in the country at his own expense in exchange for exploiting the project for a period The contract is then delivered to the state at the end of the contract period in good condition that allows it to continue operating. We have seen that these contracts have a special nature because they contain a group of intertwined contracts and agreements, including the public works contract, the loan, letters of guarantee, and others, which the investor is obligated to conclude with the aim of implementing his contractual obligations in the contract. B.O.T., However, the complexity of these contracts did not negate their administrative nature when we subjected them to legal conditioning, such that they fulfilled the elements of an administrative contract, which obliges the contracting administrative authority to take into account the procedures followed in concluding administrative contracts in general when it wishes to conclude any “B.O.T” contract. The most important of these procedures is the necessity of A special law was issued for ratification in compliance with Article (152) of the Kuwaiti Constitution. This article is the constitutional basis for these contracts.<br/>We concluded that there is a need to expedite the enactment of Kuwaiti legislation to regulate these contracts, and to respect the desire of the constitutional legislator when wishing to conclude any B.O.T contract, in order to distance it from the umbrella of invalidity and provide legal security for the investor in order to achieve the desired goals of these contracts to activate their role in development.
