| Summary, etc. | ومع انتشار الثورة الصناعية وما تبعها من تطورات ونمو في كافة المجالات سواء على مستوى الصناعات أو الإنشاءات والبنى التحتية، كانت الدول النامية بعيدة كل البعد عن هذا التطور الذي يشهده العالم نتيجة لفقرها وعدم توافر الميزانية الكافية لديها وخوفها من السقوط في دوامة الديون الخارجية للدول الكبرى وما يلازمها من ضغوطات داخلية وخارجية. لذلك أصبحت الدول تبحث عن أساليب جديدة لتمويل مشاريع البنية التحتية الأساسية للدولة وإشباع حاجات مواطنيها بشكل يتلاءم ويتوافق مع ظروفها السائدة وذلك من خلال الاعتماد على القطاع الخاص في تمويل وإدارة وإنشاء مشاريع البنية التحتية للدولة. لذا فقد ظهرت العديد من النظم القانونية لإدارة وإنشاء مشاريع البنى التحتية والمرافق العامة في الدولة ذلك من خلال الاعتماد على القطاع الخاص في إنشائها وتشغيلها وإداراتها تحت رقابة وإشراف الدولة دون زيادة الإنفاق الحكومي أو زيادة الأعباء المالية على الدولة ولعل أهم هذه النظم عقد الامتياز بصورته الحديثة والمتمثل بعقد البوت (B.O.T.) وبناءاً عليه، يمكن تعريف عقد البوت بأنه: هو عقد يبرم بين الدولة الممثلة بإحدى إداراتها وبين أحد أفراد القطاع الخاص والتمثل بالمستثمر أو شركة المشروع والذي يتضمن قيام المتعاقد مع الإدارة بإنشاء أو تطوير وإدارة أحد المرافق العامة أو مشروعات البنية التحتية للدولة وتحمله عبء تمويل هذه المرافق أو المشاريع وذلك مقابل استغلاله للمرافق محل العقد وحصوله على إيرادات وأرباح تشغيله واستغلاله طوال مدة العقد المبرم بينه وبين الدولة. |

| Summary, etc. | With the spread of the industrial revolution and the developments and growth that followed in all fields, whether at the level of industries or construction and infrastructure, developing countries were far from this development that the world is witnessing as a result of their poverty, lack of sufficient budgets, and fear of falling into the cycle of external debts to major countries and the internal and external pressures that accompany them. Therefore, countries began to search for new methods to finance the basic infrastructure projects of the state and satisfy the needs of its citizens in a manner that is compatible and consistent with its prevailing circumstances by relying on the private sector to finance, manage and establish the state's infrastructure projects. Therefore, many legal systems have emerged to manage and establish infrastructure projects and public facilities in the country by relying on the private sector to establish, operate and manage them under the supervision and oversight of the state without increasing government spending or increasing the financial burdens on the state. Perhaps the most important of these systems is the concession contract in its modern form, represented by the BOT contract. Accordingly, the BOT contract can be defined as: a contract concluded between the state represented by one of its departments and one of the members of the private sector represented by the investor or the project company, which includes the contractor with the administration establishing, developing and managing one of the public facilities or infrastructure projects of the state and bearing the burden of financing these facilities or projects in exchange for exploiting the facilities subject to the contract and obtaining revenues and profits from operating and exploiting them throughout the term of the contract concluded between him and the state. |
