| Summary, etc. | أدرك المشرع السعودى أهمية الشركات المهنية حيث كانت المملكة من أوائل الدول العربية التي أصدرت عام 1992 قانون الشركات التجارية المهنية ، ولم يكتفى المنظم السعودى بذلك ، حيث أجرى المنظم السعودى تعديلا لقانون الشركات سمح بمقتضاه بتأسيس شركات مهنية بقصد تحفيز ممارسى المهن الحرة على تأسيس شركات ، وتشجيع الشركات المهنية على التأسيس وبناء كيانات قوية لزيادة النمو المهنى ، تمكين ممارسى المن الحرة من قيادة شركات مهنية منافسة محليا ، وتيسير التمويل لتأسيس الشركات المهنية وتوسعها من خلال مستثمرين في الشركات المهنية ، وتعزيز ثقة المتعاملين مع الشركات المهنية .وقد جاء البحث مقسما إلى بابين يسبقهما فصل تمهيدى : تحت عنوان : نشأة الشركات المهنية، وتناولنا فيه نشأة الشركات المهنية وتنظيمها القانوني ؛ وتنظيمها وفق نظام الشركات السعودى الجديد والتنظيم التشريعى للشركات المهنية في القانون المقارن . أما الباب الأول : فقد جاء بعنوان الطبيعة القانونية للشركات المهنية ، وقسمناه إلى فصلين: جاء الفصل الأول بعنوان : مفهوم الشركات المهنية وتمييزها عن غيرها وذلك من خلال مبحثين : المبحث الأول : تعريف الشركات المهنية والأهمية العملية لها ، أما المبحث الثانى فقد جاء بعنوان : تمييز الشركات المهنية عن غيرها من الشركات التجارية أما الفصل الثانى من الرسالة فقد جاء بعنوان : تأسيس الشركات المهنية ، فى النظام السعودى والتشريعات المقارنة ،وقد قسمناه إلى مبحثين : المبحث الأول : النظام القانوني للشركات المهنية أما المبحث الثانى فقد جاء بعنوان : أثر الاتفاقية العامة للتجارة في الخدمات على المهن الحرة وقد جاء الباب الثانى من الرسالة بعنوان : نشاط الشركة المهنية فى النظام السعودى والتشريعات المقارنة ، وذلك من خلال فصلين : الفصل الأول وعنوانه آلية إدارة الشركة المهنية وذلك من خلال مبحثين : المبحث الأول : إدارة الشركة المهنية ، المبحث الثانى :التعسف في إدارة الشركة المهنية وحسن نية الغير المتعاملين معها .أما الفصل الثانى والأخير من الرسالة فقد جاء بعنوان : إنقضاء الشركة المهنية فى النظام السعودى والتشريعات المقارنة ، وقد قسمناه إلى مبحثين: تناول المبحث الأول :الأسباب العامة لإنقضاء الشركة ، بينما تناول المبحث الثانى :الأسباب الخاصة لإنقضاء الشركة . وأخيرا أختتم البحث بالخاتمة ، والتي شملت أهم النتائج التي توصل إليها الباحث فضلا عن التوصيات . |

| Summary, etc. | The Saudi legislator recognized the importance of professional companies, as the Kingdom was one of the first Arab countries to issue the Professional Commercial Companies Law in 1992. The Saudi regulator was not satisfied with that, as the Saudi regulator amended the Companies Law, allowing the establishment of professional companies with the aim of motivating practitioners of liberal professions to establish companies, encouraging professional companies to establish and build strong entities to increase professional growth, enabling practitioners of liberal professions to lead competitive professional companies locally, facilitating financing for the establishment and expansion of professional companies through investors in professional companies, and enhancing the confidence of those dealing with professional companies.The research was divided into two chapters preceded by an introductory chapter: under the title: The emergence of professional companies, in which we discussed the emergence of professional companies and their legal organization; and their organization according to the new Saudi companies system and the legislative organization of professional companies in comparative law.The first chapter: It was titled the legal nature of professional companies, and we divided it into two chapters: The first chapter was titled: The concept of professional companies and distinguishing them from others, through two topics: The first topic: Definition of professional companies and their practical importance, while the second topic was titled: Distinguishing professional companies from other commercial companies. As for the second chapter of the thesis, it was titled: Establishing professional companies, in the Saudi system and comparative legislation, and we divided it into two topics: The first topic: The legal system of professional companies, while the second topic was titled: The impact of the General Agreement on Trade in Services on the liberal professions.<br/>The second chapter of the thesis was titled: The activity of the professional company in the Saudi system and comparative legislation, through two chapters: The first chapter is titled The mechanism of managing the professional company, through two topics: The first topic: Management of the professional company, The second topic: Abuse in managing the professional company and the good faith of others dealing with it. The second and final chapter of the thesis was entitled: The Termination of the Professional Company in the Saudi System and Comparative Legislation. We divided it into two sections: The first section dealt with the general reasons for the termination of the company, while the second section dealt with the specific reasons for the termination of the company. Final conclusion, included the most important recommendations |
