Summary, etc.	تعد فكرة الحوكمة من الأفكار التى امتدت جذورها التاريخية إلى عصر الفراعنة، فكان شخص يرسم وآخر يبنى وثالث يراقب، للتأكد من أنه يعمل طبقا للمعايير الموضوعة. وقد أثبت الواقع الإقتصادى أن لهذه الفكرة بعدا كبيرا نحو الإستقرار والإزدهار الإقتصادى العالمى، فلا شك أن العالم الآن يشهد تحريرا لإقتصاديات السوق – بصفة عامة - وما يتبعها من تحرير للأسواق المالية– بصفة خاصة - مما يترتب عليها تزايد انفصال رؤوس الأموال والتوسع فى حجم الشركات، وانفصال الملكية عن الإدارة، كل ذلك أدى إلى ضرورة الاستعانة بآليات جديدة للرقابة من خلال إطار تنظيمى يضمن حماية رؤوس الأموال فى الشركات والمشروعات. وقد أدت التغيرات التفاعلات الإقتصادية الجديدة إلى تعرض الشركات للمنافسة الشرسة ولقدر كبير من التذبذبات الرأسمالية، مما نتج عنه سوء الإدارة وانتشار الفساد نتيجة للممارسات الخاطئة، الامر الذى أوجب على الفكر الإقتصادى البحث عن ايجاد آلية تضمن الحفاظ على رؤوس الأموال من جهة، وتحقيق المصالح من جهة أخرى. ومن ثم كان لابد من تفعيل إسلوب حوكمة الشركات أو ما يسمى بالتحكم المؤسسى وما يتبعها من إجراءات تستند على عدة مبادئ تدعو إلى الإدارة الصحيحة والرشيدة وتوطيد العلاقة بين الشركة وأصحابها للحفاظ على حقوق المساهمين وتعظيم الربحية وتفعيل مبدأى المسؤولية والمحاسبة.

Summary, etc.	The idea of governance is one of the ideas whose historical roots extend back to the era of the Pharaohs, as one person would draw, another would build, and a third would monitor, to ensure that it works according to the established standards. Economic reality has proven that this idea has a great dimension towards global economic stability and prosperity. There is no doubt that the world is now witnessing the liberalization of market economies - in general - and the subsequent liberalization of financial markets - in particular - which results in increasing separation of capital and expansion in the size of companies, and separation of ownership from management, all of which led to the necessity of using new mechanisms for control through a regulatory framework that guarantees the protection of capital in companies and projects. The changes and new economic interactions have exposed companies to fierce competition and a great deal of capital fluctuations, which resulted in mismanagement and the spread of corruption as a result of wrong practices, which obliged economic thought to search for a mechanism that guarantees the preservation of capital on the one hand, and the achievement of interests on the other hand Hence, it was necessary to activate the corporate governance method or what is called institutional control and the procedures that follow it based on several principles that call for proper and rational management and strengthening the relationship between the company and its owners to preserve shareholders' rights, maximize profitability and activate the principles of responsibility and accountability.
