| Summary, etc. | العقود التمهيدية إحدى أهم موضوعات القانون المدني الجديرة بالبحث والدراسة حتى وقتنا الحاضر، فلا يزال العديد من مُشكلاتها القانونية مجالاً واسعًا لخلاف الفقه واجتهاد القضاء، وبالتالي ما إِنْ يُستَقَر على مسألةٍ ما حتى يثور الخلاف مرة أخرى، وتستمر المنازعة والاختلاف في الرأي نتيجةً لتطور وتغير الحياة العملية التي من سِمَتِها التجدد والتغير، ومن ثَمَّ تَزَايَد الاهتمام بتلك العقود علي الصعيد العملي؛ لما لها من دورٍ مهم وبارز في مجال التعاقدات، ولاسيما الكبيرة والمهمة منها، وعقود الإنشاءات الهندسية الميكانيكية والكهربائية. والتي تتولى تنفيذها شركات عملاقة متعددة، وذلك استجابة للتطور الهائل في وسائل الإنتاج الصناعي والتكنولوجي والثورة المعلوماتية في مجال استخدام وسائل الاتصالات الحديثة في التفاوض على العقود، خاصةً أن معظم التشريعات نظمت مرحلة التفاوض بطريقة غير مباشرة عن طريق تحديد اللحظة التي ينعقد فيها العقد وتعريف المدة السابقة له على أنها فترة تفاوض؛ لذا فقد اختلف الفقه والقضاء في تكييفها، فذهبت أحكام القضاء في الدول التي لم يُعْنَ المشرعُ فيها بتنظيم المفاوضات بموجب نصوص صريحة، إلى تكييف عملية التفاوض على أنها عمل مادي لا يرقى إلى مستوى التصرفات القانونية الملزمة. غير أنها تعتد بالآثار القانونية المترتبة على المفاوضات في حالة مخالفة الالتزامات الحاكمة لها والتي أهمها مستوجبات مبدأ حسن النية، في حين ذهب بعض الفقهاء إلى تكييف اتفاق التفاوض على أنه تصرف قانوني ملزم لأطراف العقد المبتغى إبرامه وله أثره المنتج في ذلك، ويترتب على الإخلال به المسؤولية التعاقدية. |
